1. Who We Are and What This Covers

These Terms of Use ("Terms") are a legal agreement between you and Goods Ventures, LLC, a New Mexico limited liability company ("Goods Ventures," "we," "us," or "our"). They govern your access to and use of GoodsOS and GoodsPHD (collectively, the "Service"), including all associated websites, applications, APIs, and related services.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If we learn that a user is under 16, we will terminate their account and delete their data promptly.

The Service is available to users in the United States and other jurisdictions where its use is not prohibited by law.

3. Accounts

3.1 Registration

To access most features of the Service, you must create an account. Account authentication is provided through Clerk, a third-party authentication service. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [LEGAL CONTACT EMAIL] if you suspect unauthorized access to your account.

3.3 One Account Per Person

Each individual may maintain only one account. We reserve the right to merge or terminate duplicate accounts.

4. The Service

4.1 What the Service Does

GoodsPHD is a structured thinking tool for product teams. It provides AI-assisted journey mapping, claim tracking with epistemic status, collaboration features, and research assistance. The Service includes both free and paid tiers with varying feature access.

4.2 Service Availability

We aim to keep the Service available and functional, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance, deploy updates, or experience outages without advance notice. No uptime commitment is made for the Free tier.

4.3 Changes to the Service

We may modify, suspend, or discontinue any part of the Service at any time. If we make material changes that significantly reduce the functionality of a paid tier, we will provide reasonable advance notice (at least 30 days) to affected subscribers.

6. Subscription Plans and Billing

6.1 Plans

The Service is offered in multiple tiers:

Team $79/mo Collaborative access for up to 5 editors at an organization, flat rate.
Team+ $149/mo Expanded team access for up to 15 editors, plus advanced intelligence features.
Enterprise Custom SSO, admin controls, audit logs, dedicated onboarding, and custom contracts.

Specific features and limits for each tier are described on our pricing page and may change over time. We will provide reasonable notice before materially reducing features of a paid tier.

6.2 Billing and Renewal

Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date. Your payment method will be charged at renewal.

6.3 Price Changes

We may change subscription prices with at least 30 days' prior notice. Price changes take effect at the start of your next billing cycle following the notice period. If you do not agree to a price change, you may cancel your subscription before it takes effect.

6.4 Taxes

All prices are exclusive of applicable taxes. You are responsible for any taxes imposed on your subscription, except for taxes on our net income.

7. Cancellation and Refunds

7.1 How to Cancel

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date.

7.2 Refund Policy

Subscription fees are generally non-refundable. We do not provide refunds or credits for partial billing periods.

7.3 Downgrading

You may downgrade to a lower tier or the Free plan at any time. Downgrading takes effect at the end of your current billing period. Features and data that exceed the limits of the lower tier may become inaccessible but will not be deleted for a reasonable period.

7.4 Data After Cancellation

Upon cancellation, your data will remain accessible in read-only mode for 30 days. After that, we may delete your data. You may export your data at any time before deletion.

8. Data and Privacy

8.1 What We Collect

We collect data you provide directly (account information, journey content, claims, evidence) and data generated through your use of the Service (usage analytics, refinement signals, activity logs). Full details are described in our Privacy Policy.

8.2 Infrastructure and Third-Party Services

The Service is hosted on Render (US-Oregon region). Authentication is provided by Clerk. AI features are powered by the Anthropic API (Claude). Your use of the Service is also subject to the terms and policies of these providers to the extent applicable.

Each of these third-party providers acts as a data processor on our behalf. We maintain data processing agreements with each provider.

8.3 What We Do Not Do

We do not sell your personal data. We do not use your content to train machine learning models. We do not share your data with advertisers.

8.4 Data Deletion

You may request deletion of your organization's data by contacting us at [LEGAL CONTACT EMAIL]. We will process deletion requests within 30 days, subject to any legal retention obligations.

8.5 Cross-Border Data

The Service is hosted in the United States. If you access the Service from outside the United States, you consent to the transfer and processing of your data in the United States.

9. AI Features and Generated Content

9.1 How AI Works in the Service

The Service uses the Anthropic API (Claude) to generate journey maps, briefs, signals, research assistance, and other outputs. When you use AI features, content you provide (prompts, journey data, claims) is sent to Anthropic's API for processing.

9.2 Anthropic's Data Practices

Under Anthropic's commercial API terms, data sent through their API is not used to train their models. Anthropic processes this data solely to generate outputs and provide the service. For details, see Anthropic's Commercial Terms of Service and Privacy Policy.

9.3 No Guarantee of Accuracy

AI-generated outputs are provided for informational and productivity purposes only. We do not guarantee that AI outputs are accurate, complete, original, or free from error. AI outputs may contain inaccuracies, biases, or content that does not reflect reality.

You are solely responsible for reviewing, verifying, and validating all AI-generated content before relying on it or sharing it with others.

9.4 No Professional Advice

AI-generated outputs do not constitute professional, legal, financial, medical, or any other form of licensed advice. Do not rely on AI outputs as a substitute for qualified professional judgment.

9.5 Intellectual Property of AI Outputs

As between you and Goods Ventures, you own the inputs you provide to the Service and the outputs generated from those inputs to the extent permissible under applicable law. We claim no ownership over your AI-generated outputs.

10. Intellectual Property

10.1 Our Property

The Service, including its software, design, branding, documentation, and all related intellectual property, is and remains the property of Goods Ventures, LLC. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service as described here.

10.2 Your Content

You retain ownership of all content you create, upload, or input into the Service ("User Content"). This includes journey maps, claims, evidence, comments, and any other material you contribute.

10.3 License You Grant Us

By using the Service, you grant Goods Ventures a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and display your User Content solely for the purpose of operating and improving the Service. This license continues for as long as your content is stored on the Service and terminates when your content is deleted.

10.4 Feedback

If you provide suggestions, ideas, or feedback about the Service, we may use them without obligation or compensation to you.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

12. Limitation of Liability

12.1 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODS VENTURES' TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

12.2 Exclusion of Consequential Damages

IN NO EVENT WILL GOODS VENTURES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF THE THEORY OF LIABILITY.

12.3 Exceptions

Nothing in these Terms limits liability for (a) fraud or intentional misconduct, (b) death or personal injury caused by negligence, or (c) any liability that cannot be excluded under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Goods Ventures and its officers, directors, employees, and agents from any third-party claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your (a) use of the Service, (b) violation of these Terms, (c) violation of any applicable law, or (d) User Content.

14. Dispute Resolution

14.1 Informal Resolution First

Before filing any formal claim, you agree to contact us at [LEGAL CONTACT EMAIL] and attempt to resolve the dispute informally for at least 30 days.

14.2 Binding Arbitration

If we cannot resolve a dispute informally, you and Goods Ventures agree to resolve it through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will take place in Albuquerque, New Mexico, or at another mutually agreed location. The arbitrator's decision will be final and binding.

14.3 Class Action Waiver

YOU AND GOODS VENTURES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14.4 Exceptions

Either party may bring claims in small claims court if eligible. Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for matters involving intellectual property or unauthorized access.

14.5 Opt-Out

You may opt out of the arbitration and class action waiver provisions by sending written notice to [LEGAL CONTACT EMAIL] within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts located in [COUNTY], New Mexico.

15. Termination

15.1 Termination by You

You may stop using the Service and close your account at any time.

15.2 Termination by Us

We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms or if your use of the Service poses a risk to us, other users, or third parties. We will make reasonable efforts to notify you before or promptly after termination, unless doing so would compromise security or legal obligations.

15.3 Effect of Termination

Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination will survive, including Sections 9 (AI Features), 10 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 14 (Dispute Resolution), and 15.3 (Effect of Termination).

We will retain your data for 30 days following termination to allow you to export it, after which it may be permanently deleted.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through a prominent notice within the Service at least 15 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service before the changes take effect.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Mexico, without regard to its conflict-of-law principles.

18. General

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any plan-specific terms, constitute the entire agreement between you and Goods Ventures regarding the Service.

18.2 Severability

If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

18.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

18.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

18.5 Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, war, pandemic, labor disputes, government actions, or internet or infrastructure failures.
